At Salt Flats Capital we assess the possibility of a successful relationship through our equity investments, licenses and royalties. Our mission is to advance the process of innovation delivery. Our approach is to identify those ideas and inventions that possess a unique intellectual property position, technical efficacy and market potential and to co – invest or license and assist our partners in achieving the long – term success of the enterprise.

We work with potential partners to evaluate the impact of their idea, IP potential, patentability, along with a high – level competitive assessment. In addition, we produce an in-depth commercialization assessment which includes 1) intellectual property position 2) technical efficacy and 3) market potential. If the idea/invention is promising, we will finalize a contractual relationship.

Based upon our analysis, Salt Flats Capital is willing to commit for projects of superior quality which meet our innovation criteria and exhibit exceptional strength in terms of the talent of the principals and the fundamental business characteristics of their proposed projects. This commitment may take the form of direct equity investments (both cash and non – cash), or licensing/royalties.

Salt Flats Capital also has an exclusive relationship with Salt Flats Venture Studio. This is where ideas are nurtured. The Studio is an innovation platform that helps innovators explore the commercial viability of their ideas. It serves to advance ideas that can meaningfully impact their respective markets and industries.

The Studio is a structured process for innovators to refine their concept, validate the market opportunity, identify product development or service needs, business model, and develop a plan for growth, including go-to-market strategy and funding needs. The goal of the Studio is to support innovators, inventors, and entrepreneurs and their innovative ideas by providing hands-on iterative feedback and co-development. This program helps incubate ideas through the application of disciplined business concepts and allows the innovators to refine their approach through actual testing and validation by subject matter experts. Once this incubation is completed, innovators will be given an opportunity to seek funding from SFC to further develop their idea to scale and take it to market.

The business of the Salt Flats Capital is to commercialize our knowledge and to invest capital and/or resources to develop diversified portfolios of healthcare technology, media & entertainment and disruptive technologies which produce superior products and services with commensurate rates of return. Our success results from a basic philosophy: leveraging the talent of Salt Flats, LLC through our exclusive relationship, we invest in quality projects, forming a partnership with external stakeholders.

Our partnership model is comprised of collaboration to enhance existing products, develop new product lines, validate and test functionality, and may include capital investing (these options are not mutually exclusive).

Our investment horizon is long-range where most of our investments will have limited marketability for several years. Over that period it is our objective to contribute to the shaping of a sound product or service that ultimately advances the mission, values, and capabilities of Salt Flats Capital while providing a high-quality earnings stream. In this fashion, our goal will be to aid the principals in the creation of greater value.

Initial Analysis

Salt Flats Capital will develop an initial go/no go decision based upon the following criteria (not exclusive):

• Full time CEO with relevant mix of talent in the management team to scale the company and drive the business plan for success

• Deep expertise in care delivery or related fields

• Can provide data for Salt Flats Capital to execute a commercial assessment

• Clear market differentiation (value proposition)

• Clear and realistic ‘go to market’ sales strategy

• Risk mitigation plan well-articulated and available

• Potential for growth and profit well identified

• Have an identifiable exit route after 5 years

• Have the potential to deliver 10-times the original investment within 6 years if earlier stage and higher risk; 5-times the original investment if more mature and lower risk

A no-go decision will result from the following:

• Capital intensive area without lead investor at the time of any other investor (i.e. the first or only confirmed investor)

• Lack of Leadership and vision from CEO and/or Management team

• Outside of scope of care delivery and its strategic vertical segments

• No clear competition analysis or understanding

• Lack of scalability of the existing team
